These Terms and Conditions (the "Terms") govern the supply of clothing products (the "Products") by [Your Clothing Brand Name] (referred to as the "Supplier") to [Brand Name of Ordering Company] (referred to as the "Ordering Company"). By placing an order with the Supplier, the Ordering Company agrees to these Terms.

    1. Samples: 1.1 Samples provided by the Supplier are for evaluation purposes only and cannot be returned unless pre-agreed in writing by both Parties.

    2. Payment: 2.1 The Ordering Company agrees to make full payment upon ordering. The Supplier will not proceed with manufacturing or shipment until payment has been received. 2.2 Any delay in payment may result in a longer turnaround time for the order. The Supplier shall not be held liable for any delays caused by late payment.

    3. Turnaround Time: 3.1 The Supplier will make reasonable efforts to deliver the Products within a turnaround time of up to 20 working days, excluding bank holidays, from the date of order placement. 3.2 An approximate delivery time frame will be provided by the Supplier upon ordering. However, the Ordering Company acknowledges that unforeseen circumstances may cause delays beyond the Supplier's control.

    4. Defective Items: 4.1 The Ordering Company must inspect the received Products promptly upon delivery. If any items are defective, the Ordering Company must inform the Supplier immediately via email, providing video or photo evidence of the defect. 4.2 The Supplier may issue a replacement or arrange for an exchange of the defective item(s) if the defect is identified as a printing error or a fault attributable to the Supplier's manufacturing process.

    5. Confidentiality: 5.1 Both Parties agree to treat any information exchanged during the course of the agreement as confidential and shall not disclose such information to any third party without prior written consent, except as required by law.

    6. Termination: 6.1 Either Party may terminate this agreement by providing written notice to the other Party if a material breach of these Terms remains uncured for a period of thirty (30) days following written notice of such breach.

    7. Governing Law: 7.1 These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of [Jurisdiction].

    8. Entire Agreement: 8.1 These Terms constitute the entire understanding between the Parties concerning the subject matter hereof and supersede all prior agreements, understandings, and representations, whether oral or written.
